An integrated contractual framework for online transactions
Our office prepared the terms of use and conditions of sale for the e-commerce website of a cosmetics company operating a selective distribution network and selling directly to consumers.
The text regulates access to and use of the website, the electronic ordering process and formation of the sales contract, pricing and payment, shipping and delivery, transfer of risk and ownership, the right of withdrawal, returns and defective products.
It also addresses intellectual property, electronic communications and evidence, limitations of liability, force majeure, amendment of the terms, applicable law and dispute resolution, creating a single contractual framework for the company’s online sales activity.
